Terms & Conditions
Last updated: October 1, 2026. Please read these terms and conditions carefully before using the services provided by Syndryx.
1. Scope of Services
Syndryx (“we”, “us”, or “our”) designs and builds websites and online shops, sets up CRM and content management systems, and provides website repair, hosting setup, maintenance, support and related technical advice (“Services”), for the Client (“you” or “your”).
The specific scope, deliverables, timeline and fees for each project are set out in a written quote, proposal or agreement accepted by both parties. These Terms and Conditions apply to all Services provided by Syndryx unless that accepted quote or agreement explicitly states otherwise.
Post-launch fixes: for 30 days after launch we fix, free of charge, any defect where the delivered work does not match the agreed scope. New features or scope changes are not included.
2. How Our Services Work
We build and configure the agreed work and hand it over ready to use. Unless a maintenance or support plan is agreed, day-to-day operation, content updates and any subscriptions the Client holds directly (for example domain, hosting, email, payment providers or software licences) remain the Client’s responsibility.
Many projects rely on third-party services, such as hosting providers, payment gateways, courier, accounting or marketplace platforms. These are governed by their own terms, and Syndryx is not responsible for their availability, pricing or changes.
3. No Guarantee of Security or Availability
IMPORTANT: Software, hosting platforms, third-party services and security threats evolve continuously. No website or system can be guaranteed to be 100% secure or free of interruption.
We follow good security practices in our work, such as encrypted connections, restricted access, and updates and backups where they are part of the agreed service. However, Syndryx does not guarantee that the Services will prevent every attack, data loss, downtime or other incident.
The Client acknowledges that third-party platforms may change without notice and that the security measures built into our work reduce, but cannot eliminate, risk.
4. Client Responsibilities
To help us deliver on time, the Client agrees to:
- Provide the content needed (texts, images, logos, product and price data) and confirm they have the right to use it.
- Provide timely access to the accounts and tools needed for the project, such as domain, hosting, email or existing business software.
- Designate a primary point of contact who can make decisions about the project.
- Review and approve deliverables within the agreed timeline.
- Keep their own copies of important data and content before migrations or major changes.
- Comply with the laws that apply to their own business, for example product information, online-shop terms and their own privacy policy.
5. Payment Terms
Fees for Services are set out in the accepted quote or invoice. Unless otherwise specified, all invoices are due and payable within thirty (30) days of the invoice date.
Late payments may accrue interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. The Client is responsible for all taxes, duties, or levies associated with the Services, excluding taxes based on Syndryx’s net income.
6. Intellectual Property
Upon full payment, the Client owns the final deliverables created specifically for them, such as the website design, content written for them and their custom configuration.
Syndryx keeps all rights in its pre-existing tools, code, templates, methods and know-how used during the project. The Client receives a perpetual, non-exclusive, non-transferable licence to use them as part of the delivered work for the Client’s own business. Where the Services include Syndryx’s own software, such as Syndryx CRM or CMS, Syndryx keeps ownership of that software and the Client may use it for as long as the agreed plan or licence is active. Open-source components remain under their own licences.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Syndryx be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or reputational damage, arising out of or related to the Services.
Syndryx’s total aggregate liability for any claims arising out of or related to a project shall not exceed the total fees paid by the Client to Syndryx for the specific Services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the liability.
8. Confidentiality
Both parties agree to keep confidential all proprietary or sensitive information disclosed during the project (“Confidential Information”). Neither party shall disclose the other’s Confidential Information to any third party without prior written consent, except as required by law or to employees/contractors who need to know it and are bound by similar confidentiality obligations.
This obligation survives the end of the project. Confidential Information does not include information that is publicly known, already known to the receiving party, or independently developed.
9. Termination and Cancellation
Either party may terminate a project for cause if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving written notice.
Upon termination, the Client shall pay Syndryx for all Services performed and expenses incurred up to the effective date of termination.
10. Governing Law
These Terms and Conditions, and any disputes arising out of or related to the Services, shall be governed by and construed in accordance with the laws of Greece and applicable European Union law, without regard to conflict of law principles.
11. Dispute Resolution
In the event of a dispute, the parties agree to first attempt to resolve the matter amicably through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to the exclusive jurisdiction of the competent courts located in Athens, Greece.
